Terms of Service

These Terms of Service ("Terms") govern your access to and use of virtualaudiovisual.com (the "Site") and the software products and services offered by Virtual Audio Visual, LLC ("VAV," "we," "us," or "our"). By using the Site, purchasing or using our software, or engaging us for services, you agree to these Terms. If you do not agree, please do not use the Site or our products.

Use of the Site

The Site is provided for general information about VAV's software and services. You agree to use the Site lawfully and not to interfere with its operation, attempt to gain unauthorized access, or use it to distribute malware, spam, or other harmful content.

Software Products

Our software products (including Atomic and Megamix) are licensed, not sold. Upon purchase, you receive a non-exclusive, non-transferable license to use the software in accordance with the license terms delivered with the product. You may not redistribute, resell, reverse-engineer, or modify our software except as expressly permitted.

Purchases are processed by Lemon Squeezy, our merchant of record. Payment, tax handling, and order fulfillment are governed by Lemon Squeezy's terms in addition to these Terms. License keys, downloads, and receipts are delivered by email at the time of purchase.

Refunds

Because our software is delivered digitally and license keys are issued immediately at checkout, all sales are generally final. If a product is materially defective or fails to operate as described, contact us at admin@virtualaudiovisual.com within 14 days of purchase and we will work with you in good faith to resolve the issue, which may include a refund processed through Lemon Squeezy.

Services

Professional services — including technical consulting, programming, and technical direction — are provided pursuant to separate written engagement agreements with each client. Those agreements govern scope, fees, deliverables, and confidentiality. These Terms apply to your use of the Site and any general communications with VAV outside of a signed engagement.

Intellectual Property

The Site, our software, and all related content — including text, graphics, logos, the VAV diamond mark, source code, and documentation — are owned by Virtual Audio Visual, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers ownership of any of our intellectual property to you.

Disclaimers

The Site and our software are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, VAV disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or our software will be uninterrupted, error-free, or compatible with every system or workflow.

Limitation of Liability

To the fullest extent permitted by law, VAV will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site, our software, or our services. Our total liability for any claim arising out of these Terms will not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Virtual Audio Visual, LLC, its members, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, breach of these Terms, or violation of any law or third-party right.

Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Essex County, Massachusetts, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective" date above. Material changes will be highlighted on this page; your continued use of the Site or our products after the effective date of any changes constitutes your acceptance of the updated Terms.
